Position Overview:
The Legal Assistant will play a key role in supporting the legal department in all internal and external legal matters of the company. This includes contract
management, litigation coordination, compliance oversight, and liaison with external stakeholders such as clients, consultants, advocates, vendors, and
regulatory bodies. The incumbent will work closely with the management and various departments to ensure all business activities adhere to applicable laws, minimise risk exposure, and protect the company’s legal interests.


Key Responsibilities:
A. Legal Documentation and Contract Management:
 Draft, review, and finalize a wide range of legal documents, including:
o Agreements (supply, consultancy, service, purchase, subcontracting, confidentiality, joint venture, and partnership).
o Memorandums of Understanding (MoUs), NDAs, term sheets, and LOIs.
o Tender-related documents, work orders, and project-based contractual documentation.

 Vet and review contracts received from clients, vendors, and business associates to ensure compliance with company policies and risk parameters.
 Coordinate with the company’s retainer advocates and management for contract finalisation, negotiation, and execution.

 Maintain and update a centralised contract repository for easy access, renewal tracking, and version control.
B. Litigation Management & Dispute Resolution:
 Assist in managing and tracking all litigation, arbitration, and dispute resolution matters involving the company.
 Prepare documentation, evidentiary material, and brief summaries for ongoing cases.
 Coordinate with external counsels and retainer advocates to ensure timely representation and compliance with court procedures.
 Maintain detailed records of hearings, notices, court orders, and related legal correspondence.
 Support in drafting replies to legal notices, demand letters, and statutory communications.


C. Corporate Compliance & Regulatory Affairs:
 Ensure compliance with statutory and regulatory requirements applicable to contracting companies under various laws such as the Companies Act, Contract Act, labor laws, Environmental Laws, etc.
 Coordinate with the company secretary and internal departments for ROC filings, board resolutions, and corporate governance documentation.
 Maintain records and assist in audits related to legal compliance, licenses, and permits.
 Track regulatory changes and circulate legal updates relevant to the company’s business operations.


D. Advisory and Legal Support:
 Provide legal advice and assistance on day-to-day business activities and departmental operations.
 Examine potential legal risks in new business ventures, projects, and collaborations, and propose suitable mitigation measures.
 Guide management and operations teams on compliance, risk management, and contract enforcement issues.
 Advise on HR and labour-related legal matters, including employee disputes, disciplinary actions, and compliance under applicable employment laws.


E. Liaison and Coordination:
 Serve as the primary liaison between the Legal Department and external entities such as law firms, consultants, government departments, statutory authorities, and clients.
 Coordinate with internal departments including Finance, HR, Purchase, and Projects to obtain necessary documentation and ensure smooth handling of legal matters.
 Attend meetings and negotiations as required to provide legal inputs and support the company’s commercial and contractual interests.


F. Research, Analysis & Documentation:
 Conduct detailed legal research on issues pertaining to contracts, intellectual property, taxation, and sectoral regulations.
 Prepare case summaries, legal opinions, and policy notes for management review.
 Analyse judgments, circulars, and regulatory notifications affecting company operations.
 Maintain a structured legal knowledge database for internal reference.


G. Record Keeping & Administrative Support:
 Maintain physical and digital archives of legal documents, correspondence, and litigation records.
 Ensure proper documentation control, and data confidentiality in all legal records.
 Track legal expenses and invoices from external advocates, and ensure timely settlement in coordination with the accounts team.
 Prepare monthly legal MIS reports for management on ongoing cases, contract status, and compliance updates.

 Finance & Accounts (for claims, payments, and settlements)
 Projects & Operations Team (for contractual and on-site legal matters)
 Procurement & Commercial Departments (for vendor and client contracts)

 Retainer Advocates and Law Firms
 Clients, Contractors, Vendors, and Consultants
 Statutory and Regulatory Authorities
 Arbitration and Judicial Bodies
 Industry Associations and Government Departments


Required Skills & Competencies:
 Strong understanding of criminal law, corporate law and commercial law, contract law, civil procedures, labour laws, and dispute resolution.
 Proficient in legal drafting, vetting, and negotiation.
 Excellent command of written and spoken English with precision in legal correspondence.
 Ability to handle multiple tasks and manage priorities under pressure.
 High degree of professionalism, integrity, and confidentiality.
 Strong interpersonal and coordination skills to work across multiple teams.
 Proficiency in MS Office (Word, Excel, PowerPoint) and document management tools.


Qualifications & Experience:
 Bachelor’s Degree in Law (LL.B.) from a recognised university.
 Enrolled as an Advocate with the State Bar Council (mandatory).
 0–2 years of relevant experience in corporate legal environments, either in-house or with a reputed law firm.
