Job Summary
We are looking for a qualified and detail-oriented Company Secretary to ensure the company complies with all statutory, legal, and regulatory requirements. The ideal candidate will manage corporate governance, maintain statutory records, coordinate board meetings, and advise management on compliance-related matters.
Key Responsibilities
Ensure compliance with the Companies Act, SEBI regulations (if applicable), and other statutory laws.
Organize and conduct Board Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).
Prepare meeting agendas, notices, minutes, and resolutions.
Maintain statutory registers, records, and company documents.
File annual returns, financial statements, and other statutory forms with the Registrar of Companies (ROC).
Draft and review legal documents, agreements, and corporate policies.
Liaise with government authorities, regulators, auditors, legal advisors, and stakeholders.
Advise the Board of Directors on corporate governance and legal compliance.
Manage share-related matters, including share allotment, transfer, and dividend compliance (where applicable).
Monitor changes in corporate laws and ensure timely implementation.
Support due diligence, mergers, acquisitions, and other corporate transactions when required.
Coordinate with finance, HR, and other departments for regulatory compliance.
Required Qualifications
Qualified Company Secretary (CS) from the Institute of Company Secretaries of India.
Bachelor's degree in Commerce, Law, Business Administration, or a related field (preferred).
Membership with ICSI is mandatory.
Experience
3–5 years
Required Skills
Strong knowledge of the Companies Act, 2013 and corporate laws.
ROC filing and statutory compliance.
Corporate governance and secretarial practices.
Drafting legal documents and board resolutions.
Excellent communication and presentation skills.
Strong analytical and problem-solving abilities.
High attention to detail and organizational skills.
Proficiency in MS Office and MCA/ROC filing portals.
Ability to maintain confidentiality and work under deadlines.
Preferred Skills
Experience with secretarial compliance software.
Knowledge of FEMA, SEBI, RBI, and corporate taxation (where applicable).
Contract drafting and legal documentation experience.
