Job Description

We are seeking a skilled and detail-oriented Company Secretary to manage end-to-end company registration, secretarial compliance, and ROC filings for private limited companies. The ideal candidate will ensure that all statutory and regulatory requirements under the Companies Act, 2013, and related laws are met in a timely and compliant manner.

Key Responsibilities:

Company Incorporation & Registration:

  • Handle incorporation of Private Limited Companies, LLPs, OPCs, and Section 8 Companies through MCA portal (SPICe+, RUN, etc.).

  • Draft and prepare incorporation documents including MOA, AOA, board resolutions, declarations, and consent letters.

  • Coordinate with clients, directors, and shareholders for documentation and digital signatures.

Statutory & ROC Compliance:

  • Prepare and file annual ROC returns (AOC-4, MGT-7/7A, etc.) and other event-based filings (DIR-12, PAS-3, INC-22, etc.).

  • Maintain statutory registers, minutes books, and records as per Companies Act, 2013.

  • Draft board resolutions, notices, and minutes for board/general meetings.

  • Ensure timely compliance of Director KYC, annual filings, and other MCA forms.

Liaison & Advisory:

  • Liaise with Registrar of Companies, MCA, and other government authorities.

  • Advise management and clients on legal and procedural matters related to incorporation and ongoing compliance.

  • Stay updated on amendments, notifications, and circulars issued by MCA/ICSI.

Other Support Functions:

  • Assist in share allotments, transfer of shares, and changes in directorship.

  • Support in PAN/TAN/GST registration, trademark filings, and Start-up India registrations.

  • Prepare compliance status reports and trackers for internal management.

Required Skills & Competencies:

  • Strong knowledge of Companies Act, 2013 and MCA e-filing system.

  • Proficiency in MS Office, MCA portal, and basic documentation.

  • Excellent drafting and communication skills.

  • Attention to detail, confidentiality, and strong organizational skills.

  • Ability to work independently and manage multiple client accounts simultaneously.

Preferred Experience:

  • Experience in a CA/CS consulting firm, startup registration service, or legal compliance firm.

  • Exposure to Start-up India, FSSAI, MSME, and trademark registration processes will be an added advantage.
