Job Title: Company Secretary
Location: Pitampura, Delhi
Reports to: Board of Directors / CEO
Department: Corporate Governance

Position Overview:

We are seeking an organized, proactive, and detail-oriented individual to join our team as a Company Secretary. The Company Secretary will be responsible for ensuring that the company adheres to legal and regulatory requirements, assists the board in decision-making, and fosters good corporate governance practices. This role is crucial in maintaining smooth operations and ensuring compliance with all statutory obligations.

Key Responsibilities:

  1. Corporate Governance:

    • Ensure the company complies with all statutory and regulatory requirements (e.g., Companies Act, Listing Rules, corporate governance codes).

    • Organize and attend meetings of the Board of Directors and general meetings (AGMs, EGMs), providing guidance on corporate governance matters.

    • Maintain accurate minutes and records of all meetings and decisions of the board and shareholders.

    • Advise directors and management on corporate governance practices and the legal implications of their actions.

  2. Compliance & Legal Advisory:

    • Ensure the company complies with filing requirements for government bodies, including company registration and tax filings.

    • Liaise with external auditors, legal advisors, and regulatory bodies to ensure compliance with applicable laws.

    • Monitor changes in legislation and regulatory practices affecting the business and inform the board of necessary actions.

    • Oversee the submission of statutory documents and filings (annual reports, financial statements, etc.).

  3. Board Support:

    • Coordinate and prepare agendas for board meetings and annual general meetings.

    • Maintain records of all shareholder communications and corporate governance documents.

    • Assist the board with the induction process and ongoing training on legal matters and corporate governance.

    • Ensure timely distribution of meeting materials and action points to directors and stakeholders.

  4. Corporate Records and Documentation:

    • Maintain and update the company’s statutory books (e.g., register of members, directors, and secretaries, share capital, and more).

    • Ensure that all corporate filings and returns are accurate and submitted within deadlines.

    • Manage the company’s insurance, contracts, and other legal documentation.

  5. Risk Management:

    • Advise on legal and regulatory risks and assist in the development of company policies to mitigate those risks.

    • Ensure that risk management frameworks are adhered to and relevant reporting is conducted.

  6. Liaison with Stakeholders:

    • Serve as a point of contact between the company, regulators, and external stakeholders.

    • Coordinate investor relations and shareholder communications, ensuring transparency and timely information dissemination.

Key Skills & Qualifications:

  • Education: A professional qualification such as ICSA (Institute of Chartered Secretaries and Administrators) is preferred.

  • Experience: Minimum of 2 years of experience as a Company Secretary or in a similar corporate governance role.

  • Knowledge: In-depth understanding of corporate law, governance frameworks, and compliance regulations.

  • Skills:

    • Strong organizational and communication skills, with the ability to interact effectively with senior management and external parties.

    • Attention to detail and the ability to manage multiple tasks simultaneously.

    • High level of integrity and professionalism in dealing with confidential and sensitive matters.

  • Technical: Proficiency in MS Office (Word, Excel, PowerPoint) and experience with corporate governance software is a plus.
