Job Description

  • ​Records formal proceedings and drafts official meeting minutes and resolutions.

​3. Statutory & Regulatory Compliance

  • ​Manages statutory filings (annual returns, financial statements, changes in directorship) with government bodies like the Registrar of Companies (ROC) or Securities and Exchange Commissions.

  • ​Oversees listing agreement compliances for publicly traded companies (e.g., SEBI guidelines in India or SEC rules in the US).

​4. Custody of Registers & Corporate Records

  • ​Maintains required statutory books, including the Register of Directors, Register of Members/Shareholders, Charges, and Debenture Holders.

  • ​Manages the execution of contracts, share allocations, stock options (ESOPs), and custody of the corporate seal.

​5. Liaison with External Stakeholders

  • ​Acts as the primary point of contact between the board, shareholders, legal counsel, auditors, and government regulators.
