JOB DESCRIPTION OF COMPANY SECRETARY:-
🏛️ Governance & Compliance:
Ensure the company complies with applicable corporate laws, rules, and regulations ( Companies Act, SEBI regulations).
Maintain and update statutory registers and records.
File necessary documents and returns with government bodies like the Registrar of Companies (ROC).
Advise the board on their legal and corporate responsibilities.
📋 Board & Committee Support:
Organize and coordinate board, committee, and shareholder meetings.
Prepare meeting agendas, take minutes, and ensure timely distribution of documents.
Maintain records of board decisions and resolutions.
💼 Corporate Affairs:
Draft, review, and manage corporate legal documents ( MOA, AOA, resolutions, contracts).
Handle matters related to share issuance, dividend distribution, and share transfers.
Assist with mergers, acquisitions, and restructuring activities.
📈 Liaison & Communication:
Act as the point of contact between the company and regulatory authorities (SEBI, Stock Exchanges, MCA, etc.).
Communicate with shareholders, investors, and stakeholders on behalf of the company.
Ensure timely disclosures and compliance with stock exchange requirements (for listed companies).
🧑🎓 Qualifications & Skills:
✅ Essential:
Qualified Company Secretary (member of ICSI – Institute of Company Secretaries of India or equivalent in other countries).
Strong knowledge of corporate laws, governance practices, and compliance requirements.
Excellent communication, drafting, and organizational skills.
💡 Preferred:
Additional qualifications like LLB, MBA, or CA.
Experience with listed companies or multinational corporations.
Familiarity with digital tools for compliance and documentation.
📈 Experience:
Minimum 1 years in a Company Secretary role or similar legal/compliance function.
