Corporate Lawyer Associate / Corporate Law Associate

Role Overview

A Corporate Lawyer Associate assists senior lawyers and partners in advising companies on corporate, commercial, and regulatory matters. The role involves drafting legal documents, conducting due diligence, ensuring statutory compliance, and supporting corporate transactions such as mergers, acquisitions, and investments.

Key Responsibilities

Draft, review, and negotiate corporate and commercial agreements, including:

Shareholder Agreements

Share Purchase Agreements

Joint Venture Agreements

NDAs, MOUs, and Service Agreements

Assist in company incorporation, restructuring, and closure

Conduct legal due diligence for mergers, acquisitions, and investments

Ensure compliance with:

Companies Act, 2013

MCA filings and ROC compliance

Prepare and file statutory documents, resolutions, and returns

Support senior advocates in corporate litigation, arbitration, and NCLT matters

Coordinate with clients, government authorities, and regulatory bodies

Research corporate laws, amendments, and judicial precedents

Maintain corporate records, compliance trackers, and case files

Trade mark, copyright, Patent license

GST Registration

MSME , FSSAI license

Required Skills & Qualifications

LL.B degree (3-year or 5-year) from a recognized university

1–5 years of experience in corporate law (law firm or in-house)

Strong drafting and legal research skills

Knowledge of corporate, commercial, and business laws

Familiarity with MCA portal, ROC filings, and compliance processes

Good communication and client-handling skills

Ability to work under deadlines and manage multiple matters

Preferred Skills (Added Advantage)

Experience in M&A, private equity, or startup advisory

Exposure to NCLT, IBC, or arbitration matters

Understanding of contract negotiation and risk assessment

Prior law firm or corporate in-house experience

Work Environment
