Job Title: Company Secretary – Real Estate Hub
Job Summary
The Company Secretary will ensure full legal, regulatory, and corporate governance compliance for the real estate hub and its group entities. The role supports the Board and senior management in matters related to property transactions, regulatory filings, corporate governance, and stakeholder coordination, while ensuring compliance with real estate–specific laws and authorities.
Key Responsibilities:
Corporate Governance & Legal Compliance
Ensure compliance with corporate laws, real estate regulations, land laws, zoning requirements, and local authority approvals
Maintain statutory registers, company records, and property-related legal documentation
Monitor changes in corporate and real estate legislation and advise management accordingly
Board, Committee & Management Support
Organize Board, committee, and shareholder meetings for group real estate entities
Prepare agendas, board papers, resolutions, and minutes
Ensure implementation and follow-up of Board decisions related to property development, leasing, and investments
Real Estate Transactions & Documentation
Support legal documentation for property acquisition, sale, lease, joint ventures, and development agreements
Coordinate with legal advisors, land registries, municipalities, and regulatory authorities
Maintain records of title deeds, leases, MOUs, and contracts
Regulatory Filings & Authority Liaison
Prepare and submit statutory filings, annual returns, and regulatory disclosures
Liaise with real estate regulatory authorities, land departments, planning authorities, and free zone authorities (if applicable)
Ensure compliance with licensing, permits, and approvals for real estate projects
Investor & Stakeholder Management
Support investor relations, joint venture partners, and shareholders
Manage documentation related to shareholding structures, SPVs, and project entities
Assist in fundraising, project financing, and due diligence processes
Risk Management & Advisory
Advise management on corporate governance, risk, and compliance issues related to property development and management
Support audits, compliance reviews, and internal control frameworks
Assist in restructuring, formation, and liquidation of project companies and SPVs
Qualifications & Skills
Education & Certification
Bachelor’s degree in Law, Business Administration, Finance, or related field
Professional Company Secretary qualification (ICSA/CGI or equivalent preferred)
Experience
3–7 years of experience in a company secretarial, legal, or governance role
Experience in real estate, construction, property management, or infrastructure sectors preferred
Key Skills
Strong knowledge of corporate and real estate regulatory frameworks
Experience handling property-related documentation and authorities
Excellent coordination, drafting, and organizational skills
High level of integrity, confidentiality, and attention to detail
Reporting Line
Reports to the Board of Directors / Managing Director / Head of Legal & Compliance.
