Key Roles & Responsibilities
· Assist in managing corporate secretarial and statutory compliance assignments for clients under the guidance of senior professionals.
· Prepare, review and assist with filing statutory e-forms and applications with the Ministry of Corporate Affairs (MCA).
· Support compliance under the Companies Act, 2013, applicable Rules and Secretarial Standards (SS-1 and SS-2).
· Assist in preparation of notices, agendas, minutes, resolutions and supporting documentation for Board, Committee and General Meetings.
· Maintain and update statutory registers, records, corporate master data and compliance trackers.
· Assist with annual and event-based MCA filings, including
· Support incorporation and post-incorporation compliances, including changes in directors, registered office, share capital and other corporate matters.
· Assist with share-related matters such as allotment, transfer, transmission and related corporate documentation.
· Coordinate with clients for collection, verification and follow-up of documents and information required for statutory filings.
· Assist in preparing compliance checklists, status reports and documentation for internal review and client reporting.
· Conduct basic research on the Companies Act, MCA rules, regulatory requirements and relevant compliance updates.
· Support senior professionals in due diligence, secretarial audit and other corporate compliance assignments, as required.
· Maintain confidentiality, accuracy and proper documentation of client records and assignments.
· Track statutory deadlines and proactively follow up to ensure timely completion of assigned compliances.
Qualifications & Experience
· Bachelor’s degree in Commerce, Business Administration, Law or a related discipline.
· 6 months to 2 years of relevant experience in a CA firm, CS firm, corporate compliance team or professional services environment.
· Candidates pursuing CS Executive / CS Professional or holding relevant CS qualifications will be preferred.
· Practical exposure to MCA portal, ROC filings and Companies Act compliance will be an advantage.
Key Skills & Competencies
· Working knowledge of Companies Act, 2013 and MCA / ROC compliances.
· Good documentation, drafting and analytical skills.
· Proficiency in MS Word and Excel; familiarity with MCA V3 portal is preferred.
· Strong attention to detail and ability to manage compliance deadlines.
· Good written and verbal communication with professional client-handling skills.
· Ability to work independently as well as collaboratively with senior professionals and team members.
· Proactive approach, willingness to learn and ability to handle multiple assignments.
