Job Description

Borosil Limited is seeking a qualified Company Secretary (CS) registered with ICSI with 7–8 years of post-qualification experience to manage end-to-end secretarial and compliance functions. The role requires strong expertise in corporate governance, regulatory compliance, and stakeholder management for a listed manufacturing or diversified company. ● Ensure compliance with Companies Act, 2013, SEBI (LODR) Regulations, 2015, SEBI Insider Trading Regulations, and other applicable corporate laws and regulations. ● Coordinate and support all Board, Committee, and General Meeting activities, including drafting agendas, notices, minutes, and resolutions. ● Maintain and regularly update statutory registers, records, and filings with the Ministry of Corporate Affairs (MCA) and Stock Exchanges. ● Handle correspondence with SEBI, Stock Exchanges, and the Registrar of Companies (ROC), ensuring timely submission of all returns and disclosures. ● Support initiatives on corporate governance, policy formulation, periodic reviews, and implementation of best practices. ● Assist in the preparation of the Annual Report, including sections of the Board’s Report, BRSR, AGM Notice, and other secretarial documentation. ● Liaise with regulators, auditors (internal/statutory/secretarial), and legal advisors on compliance and governance matters.
