The Company Secretary (CS) is responsible for ensuring the company complies with all applicable legal and regulatory requirements, maintaining corporate governance standards, and providing support to the Board of Directors. The CS plays a key role in advising on strategic decisions, managing statutory records, and acting as a liaison between the board, shareholders, and regulatory authorities.
Ensure compliance with Companies Act, SEBI regulations, FEMA, RBI, and other applicable laws.
Maintain and update statutory registers and records.
File necessary forms, returns, and reports with MCA, SEBI, and other regulatory bodies on time.
Ensure compliance with secretarial standards issued by ICSI.
Organize and prepare notices, agendas, and minutes for Board, Committee, and General Meetings (AGM/EGM).
Facilitate communication between directors, management, and shareholders.
Maintain records of resolutions, minutes, and related documents.
Advise the Board on corporate governance best practices.
Assist in board evaluations and compliance with governance frameworks.
Support risk management, internal control, and ethics programs.
Manage shareholder communications and grievances.
Maintain the share register and oversee share transfers and issuance.
Liaise with depositories, registrars, and transfer agents.
Coordinate with auditors (statutory, secretarial, internal).
Prepare annual reports, director’s reports, and disclosures.
Lead secretarial audits and compliance audits.
Draft and review corporate policies, charters, codes, and disclosures.
Advise management on legal and regulatory developments.
Strong knowledge of corporate laws and governance

Qualified Company Secretary (Member of ICSI)
