Serve as the principal advisor to the Board of Directors on corporate governance best practices.
Organize and manage Board, Committee, and shareholder meetings, including preparing meeting agendas, minutes, resolutions, and briefing materials.
Maintain statutory registers (e.g., members, directors, charges) and ensure proper documentation of company decisions.
Facilitate Board evaluations, induction, and ongoing training.
Ensure full compliance with relevant legislation, including corporate law, debt management regulations, data protection laws, and financial conduct requirements.
Prepare and submit required filings to regulatory authorities (e.g., annual returns, financial statements, compliance reports).
Monitor regulatory changes affecting the debt management sector and advise the Board and management.
Liaise with regulators, legal counsel, auditors, and external stakeholders regarding compliance matters.
Support the development and implementation of corporate governance frameworks, internal policies, and risk controls relevant to debt management operations.
Maintain oversight of anti–money laundering (AML), consumer protection, and ethical conduct policies.
Ensure timely internal audits, compliance reviews, and remedial actions.
Manage all company secretarial functions, including maintaining corporate records and ensuring accurate filing systems.
Support contract review, document control, and the execution of legal agreements with creditors, clients, and partners.
Coordinate the company’s annual general meeting (AGM) and other statutory events.
Provide strategic advice on governance issues, corporate structure, regulatory risks, and operational compliance.
Ensure the Board is kept informed of industry developments, legislative amendments, and compliance risk exposures.
Assist in corporate strategy discussions related to debt management operations, consumer debt handling, restructuring practices, and credit reporting obligations.
